Broker Terms and Conditions

About these terms

General People acts as agent for and on behalf of the owner or landlord of each building we represent. Any licence, lease or other occupational agreement is entered into directly between the client and the relevant building-owning entity. General People is not the contracting landlord and is not a party to any agreement between a broker or agent and their client. These terms govern the introduction of clients to General People buildings by third-party brokers and agents ("you", "the broker" or "the agent"). By submitting an enquiry to General People you accept these terms in full. Each building we represent is operated by a separate legal entity. The correct billing entity, its registered address and its accounts payable contact will be confirmed to you in writing by the General Manager of the relevant building at the point your fee is approved. Invoices raised to any other entity, or before that confirmation has been issued, will be returned unpaid.

1. Fees

1.1 Basis of calculation 1.1.1 All fees are calculated on the licence fee or rent actually payable by the client over the first 12 months of the term. 1.1.2 The calculation is made after deduction of any rent-free period, discount, concession or other tenant incentive granted to the client. Fees are payable on the net amount the client actually pays, not on headline or list rates. 1.1.3 No fee is payable on any ancillary, add-on or variable charge. This includes (without limitation) service charge, parking, internet and connectivity, meeting room credits or usage, mail handling, additional furniture, storage, utilities, insurance, event space, membership add-ons, deposits, and any service purchased separately by the client at any time. 1.1.4 Where the contracted term is shorter than 12 months, the fee is calculated on the actual contracted term. Where the contracted term is longer than 12 months, the fee is calculated on the first 12 months only. 1.1.5 All fees are stated exclusive of VAT. The broker is responsible for its own taxes, and for any withholding or other deduction required in its own jurisdiction. Worked example — a private office is agreed at £5,000 per month on a 12-month term with two months rent-free, plus £150 per month parking. The fee base is 10 × £5,000 = £50,000. The parking is excluded. The commission payable is 10% of £50,000 = £5,000 plus VAT. 1.2 Private office General People will pay 10% of the contracted licence fee for the first 12 months of occupation, calculated in accordance with clause 1.1, subject to a signed agreement and a cleared deposit being received. 1.3 Residential / commercial General People will pay the agreed fee based on the first 12 months of the lease terms, calculated in accordance with clause 1.1, subject to a signed lease and a cleared deposit being received. In most instances this will be a split fee shared with our retained agent(s). The applicable fee percentage must be agreed in writing by General People before any viewing takes place; where no percentage has been agreed in writing in advance, no fee is payable. 1.4 Dedicated desks For each dedicated desk that signs, General People will pay the broker or agent a flat fee of £200 per desk, or the value of the first month's desk fee, whichever is the lower, subject to a signed agreement and the initial payment being received. 1.5 Virtual office General People does not currently offer a virtual office product. No virtual office leads will be accepted or processed, and no fee is payable in respect of any virtual office enquiry. 1.6 Promotional offers Promotional offers may be made from time to time and are subject to the conditions specified by General People at the time of the offer. Promotional rates apply only to leads registered and accepted during the stated offer period.

2. Renewals, extensions and expansions

2.1 Expansions. Should a client expand within 12 months of the initial start date, General People will pay a further fee of 10% of the additional contract value. That fee is calculated only for the period running to the 12-month anniversary of the client's original start date, and not beyond it. 2.2 Renewals and extensions. No fee is payable on any renewal, extension, re-gear, roll-over or continuation of an agreement beyond its initial term, nor on any relocation, downsize or upsize occurring after the first 12 months, unless expressly agreed in writing in advance by a director of General People. 2.3 Repeat business. No fee is payable where an existing or former client of any General People building takes additional or replacement space, whether or not that client is re-introduced by a broker.

3. Break clauses

3.1 Where an agreement contains a break clause, fees will be calculated and paid only to the break date. 3.2 Where the break is subsequently not exercised, General People will notify you in writing within 30 days of the break date having passed, and the further fee then falling due will be paid on receipt of a valid invoice in accordance with clause 5. 3.3 You must submit that invoice within 30 days of our notification. Invoices submitted later than this are payable at General People's discretion.

4. Downsizing, default and clawback

4.1 In the event that the client does not pay the full amount agreed in the initial contract — whether through downsizing, early termination, default, insolvency or any other cause — the broker or agent will refund the fees overpaid on a pro-rata basis. 4.2 Refunds are due within 30 days of a written demand from General People setting out the calculation. 4.3 General People may, at its option, set off any sum repayable under this clause against any other fee then or subsequently due to you, whether in respect of the same client or not.

5. Payment terms and billing entities

5.1 On receipt of a signed agreement for the client, General People will confirm to you in writing the details, the fee amount to be invoiced, the correct billing entity and the accounts payable contact for that entity, as confirmed by the General Manager of the relevant building. 5.2 Only on receipt of that written confirmation may the broker or agent raise an invoice. The invoice must quote the Purchase Order number supplied and must be addressed to the billing entity named in the confirmation. Invoices raised without a Purchase Order number, or addressed to any other entity, will be returned unpaid. 5.3 No fee falls due until a signed agreement has been received, the deposit or initial payment has cleared in full, and the client has taken occupation. 5.4 Valid invoices are payable within 30 days of receipt. 5.5 Invoices must be submitted within three months of the date of our written confirmation. Invoices submitted after that period are payable at General People's discretion.

6. Registering leads

6.1 All enquiries must be sent to sales@generalpeople.com. 6.2 Verbal enquiries will not be considered valid and must be formally submitted through the address above. 6.3 All enquiries received will be logged into the General People CRM system and you will be notified by return when your lead has been accepted or rejected. General People will endeavour to log all enquiries within one working day but will not be responsible for any delay in lead logging caused by circumstances outside our reasonable control. 6.4 No action can be taken on any enquiry until it has been formally logged on the CRM system and an acceptance or rejection has been sent to you. 6.5 A registration must include the client's full name and company name, together with the requirement and target buildings. Registrations that do not include these details are not valid and secure no fee position. 6.6 Confidential leads — the client name and company name must still be provided in order to secure a fee. General People accepts no responsibility for duplicated leads or viewings where a broker or agent declines to disclose the client's name or details. 6.7 By registering a lead you confirm that you have the client's consent to share their personal data with General People and with the relevant building entity for the purposes of arranging viewings and progressing the enquiry.

7. Excluded leads

No fee is payable, and General People may reject a registration outright, where: • the client is an existing or former occupier of any General People building; • the client is already recorded in the General People CRM at the time your registration is received; • the client has enquired directly with General People, or through General People's own marketing, advertising or paid search, within the preceding six months; • the client has already been registered by another broker or agent who holds the fee position under clause 9; • the client has already viewed the building before your registration was received; • the enquiry relates to a virtual office product; • the broker or agent is the client, or is a connected party to the client, or would otherwise be acting on both sides of the transaction without written disclosure to and consent from General People; • the registration was not made in accordance with clause 6.

8. Booking viewings

8.1 All viewings must be booked by the General People team. 8.2 On booking a viewing, a confirmation will be sent to the client and full disclosure of client details is required. Where the broker is attending the viewing with the client, the viewing confirmation will be sent to the attending broker. 8.3 A viewing must be completed within 10 working days of your lead being accepted. If no viewing has been completed within that period, the acceptance lapses and the building becomes open to registration and overturn by other sources. 8.4 A viewing is "completed" when the client, or an authorised representative of the client, has physically attended the building. Cancelled, no-show and virtual or video viewings do not count as completed viewings unless General People confirms otherwise in writing.

9. Acceptance, rejection and overturn

9.1 Enquiries are accepted or rejected on an individual building basis. The first broker to register the enquiry will be accepted, subject to arranging a completed viewing at that building. 9.2 Acceptance does not confer exclusivity of any kind. You are welcome and encouraged to arrange viewings across multiple General People buildings, but arranging a viewing at one building gives you no position at any other. 9.3 Overturn. Where a lead has been accepted but remains subject to a viewing, and another broker or agent introduces the same client and completes a viewing at that building first, that second broker overturns the position and takes the fee position for that building. The original introducer's registration is then rejected and no fee is payable to them in respect of that building. 9.4 A second or subsequent broker whose registration is rejected remains open to overturn on the same basis, until a viewing has been completed. 9.5 Once a client has completed a viewing at a building, the broker who arranged that viewing — or, where the lead was accepted and General People arranged the viewing, the first broker whose lead was accepted — holds the fee position for that building. No other broker has any further right to overturn that position. 9.6 Expiry. A fee position expires three months after the date of the client's last completed viewing at that building. If no agreement has been signed within that period, the registration lapses and the building becomes open to registration by any source, including General People directly.

10. Broker warranties

By registering a lead, you warrant and represent on each occasion that: • you are duly authorised by the client to act on their behalf and to disclose their details to General People; • you have obtained all consents required under applicable data protection law, including the UK GDPR and the Data Protection Act 2018, and you will comply with that law in handling any personal data shared under these terms; • you have made no representation, warranty or commitment to the client on behalf of General People or any building entity, and you will not do so; • you hold all registrations, authorisations and insurances required to carry on your business, including professional indemnity insurance where applicable; • you comply with the Bribery Act 2010 and with all applicable anti-money-laundering, sanctions and know-your-client requirements, and you have carried out such client due diligence as your obligations require; • the information you provide in a registration is accurate and complete to the best of your knowledge.

11. Marketing, confidentiality and non-circumvention

11.1 You may not advertise, list or otherwise market any General People building, rate or availability — including on property portals, aggregator sites, social media or your own website — without our prior written consent. 11.2 You may not bid on, or use, "General People" or any General People building name, trade mark or close variant as a keyword in paid search or online advertising. 11.3 You may not hold yourself out as General People, as an employee of General People, or as having any authority to contract on our behalf. 11.4 Rates, availability, incentives and commercial terms disclosed to you are confidential and may be shared only with the client to whom they relate. 11.5 You may not approach any building owner, landlord or building entity directly in relation to a General People building without our prior written consent.

12. General

12.1 Nothing in these terms creates a partnership, joint venture, employment relationship or relationship of agency between General People and the broker or agent. You act as an independent contractor at all times. 12.2 You may not assign or subcontract your rights under these terms without our prior written consent. A fee is payable only to the entity that registered the lead. 12.3 A person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms. 12.4 These terms, together with any written confirmation issued under clause 5, constitute the entire agreement between us in relation to the introduction of clients, and supersede all previous versions and any prior understanding or arrangement. 12.5 We reserve the right to amend or withdraw these terms at any time by publishing an updated version. Amendments take effect on publication but do not apply retrospectively to leads already accepted in writing before that date, which continue to be governed by the version in force when they were accepted. 12.6 All decisions under these terms are at the discretion of General People. Any variation, waiver or discretionary payment requires confirmation in writing by a director of General People. 12.7 By sending enquiries to General People you indicate your acceptance of these terms and conditions. 12.8 These terms and any dispute arising out of or in connection with them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
